INTRODUCTION

A director must at all time act honestly and use reasonable diligence in the discharge of his or her duties. A breach of Section 157(1) of the Companies Act 1967 (“CA”) is a criminal offence.

In PP v Zheng Jia [2025] SGHC 76, a three-Judge coram of the High Court set out a revised sentencing framework where a corporate secretarial services provider, providing nominee director services, breaches their duty to act with reasonable diligence.
